Re: Referral fee for introduction of Tim Kreilkamp (and future referrals)

1. Background

Daniel, this letter sets the terms by which OBB will pay you a referral fee for clients you introduce to us. It is the only written agreement on this topic and supersedes anything previously discussed or sent. It is intentionally simple: a one-time, bounded referral fee per introduced client — not a sales-rep commission, not a durable share of revenue, and not an ongoing engagement.

2. Referral fee

2.1 Fee. For each Introduced Client (defined in §3) who signs an engagement with OBB, OBB will pay you five percent (5%) of Year-1 Collected Revenue from that client.

2.2 Year 1. "Year 1" runs twelve (12) months from the date the Introduced Client signs their initial engagement (Statement of Work, MSA, or equivalent) with OBB. Revenue collected after the Year-1 window earns no fee under this letter.

2.3 Collected Revenue. "Collected Revenue" means cash actually received by OBB from the Introduced Client during Year 1 for OBB's services, excluding only (i) third-party costs OBB pays a vendor and rebills at cost to the client, and (ii) sales tax remitted.

2.4 Payment cadence. The fee is calculated and paid quarterly. Within thirty (30) days of the end of each calendar quarter, OBB will send you a short statement showing Year-1 Collected Revenue for that quarter from each Introduced Client and the corresponding fee, paid by ACH or check.

2.5 No durable claim. Once Year 1 ends for a given Introduced Client, no further fee accrues to you with respect to that client, regardless of whether the client continues with OBB.

3. Introduced Client

3.1 "Introduced Client" means a person or entity you introduce in writing to OBB who, within twelve (12) months of that introduction, signs an engagement with OBB.

3.2 Tim Kreilkamp is the first Introduced Client under this letter. For clarity: if Tim (or any entity in which he holds a controlling interest) signs an OBB engagement, the 5% fee in §2 applies for Year 1 of that engagement.

3.3 Future referrals. Subsequent clients you introduce to OBB are automatically covered by these same terms unless OBB notifies you in writing before your introduction that this letter does not apply. You are not obligated to introduce anyone; OBB is not obligated to engage anyone you introduce.

4. Relationship

4.1 You are an independent referring party — not an employee, partner, joint-venturer, sales representative, or agent of OBB. You have no authority to bind OBB, quote OBB's prices, or make representations on OBB's behalf.

4.2 OBB will issue Form 1099-NEC for fees paid under this letter, as required. You are responsible for your own taxes.

4.3 There is no exclusivity. You are free to introduce clients to other service providers; OBB is free to source clients from other channels.

4.4 There is no non-circumvention obligation. If an Introduced Client chooses to engage someone other than OBB, that's their call and no fee accrues.

5. Term and termination

5.1 This letter is effective on the date of the last signature below and continues until either party terminates it on thirty (30) days' written notice (email is sufficient).

5.2 Termination does not affect fees already earned. If an Introduced Client is mid-Year-1 at termination, you are still owed the remaining quarterly payments through that Year 1.

6. Miscellaneous

6.1 Wisconsin law governs.

6.2 Confidentiality: please don't share OBB's pricing, scopes, or client details with third parties without OBB's permission. Same goes the other way for any non-public information you share with OBB about Introduced Clients.

6.3 This letter is the entire agreement between us on this topic. Changes must be in writing and signed by both of us.
